The BUY SIDE Transaction Review Process (Step by step).


1. Define the "BUYERS" scope of work.

2. Conduct an acquisition search (City by City).

3. Conduct competitor reviews (Regional and National).

4. Conduct potential seller calls (City by City).

5. Sign an NDA with the potential seller. 

6. Determine if LOI is appropriate. 

7. 15-day first pass financial - balance sheet review.

8. Present term sheet (30-day due diligence review).

9. Conduct legal - hidden litigation review (asset purchase).

10. Conduct an accounting and asset review.

11. Conduct HR review.

12. Conduct customer reviews (Top 15).

13. Approval or decline decision. 

14. Transaction funding.

15. Close of escrow/asset transfer.

16. Integration process.

- $ 12,000.00 per 160.0 hours of service. 

- Completion bonus, One percent of transaction value.

- One to three months per assignment. 

- Fees and expenses are evaluated on a project basis.

- Fee exclusions: Real estate, pension, stocks, cash.
